Coach Agreement

Introduction

This Coach Agreement (“Agreement”) governs your participation as a Coach on the COACHD App, LLC / COACH’D platform (“Platform”). By creating a coach account, you agree to comply with this Agreement, the Terms & Conditions, the User Code of Conduct, and all other COACH’D policies.

“Coach” refers to any user offering training, instruction, mentorship, or athletic development services through COACH’D.

Independent Contractor Status

Coaches are independent contractors, not employees, partners, or representatives of COACH’D. As a Coach, you:

Control your own schedule
Set your own rates
Determine your own training methods
Are responsible for your own taxes, insurance, and business compliance

COACH’D does not supervise, direct, or control your coaching activities.

Coach Responsibilities

As a Coach, you agree to:

Provide accurate information about your background, certifications, and experience
Deliver training services professionally and safely
Communicate promptly and respectfully with athletes
Maintain appropriate boundaries and avoid misconduct
Follow all applicable laws, regulations, and facility rules

You must immediately update your profile if any certification or qualification expires or becomes invalid.

Qualifications & Verification

You represent and warrant that:

All credentials you provide are truthful and current
You are legally permitted to offer the services you provide
You will not misrepresent your expertise

COACH’D may request documentation or conduct verification checks at any time.

Safety & Risk Management

You agree to:

Provide training that is safe, appropriate, and within your expertise
Avoid offering medical, therapeutic, or clinical advice unless properly licensed
Encourage athletes to consult medical professionals when necessary
Report any safety concerns or misconduct to COACH’D

COACH’D, the owners, or partners are not responsible for injuries, accidents, or outcomes resulting from your coaching.

Payments & Fees

Coaches set their own pricing. Payments are processed through third-party providers. You agree that:

COACH’D may charge service or transaction fees
Payouts are subject to the payment provider’s terms
You are responsible for refund requests according to the Refund Policy

Charge-backs or fraudulent disputes may result in account suspension.

Content & Intellectual Property

You retain ownership of training materials you create. However, by uploading or sharing content on COACH’D, you grant COACH’D a non-exclusive, worldwide license to:

Store
Display
Transmit
Use the content to operate the Platform

You may not upload copyrighted material without permission.

Prohibited Conduct

Coaches may not:

Harass, exploit, or abuse athletes
Provide unsafe or deceptive training
Make false claims about results or outcomes
Engage in discrimination or hate speech
Solicit athletes for off-platform payments
Share private athlete information without consent

Violations may result in immediate removal.

Communication Standards

All communication with athletes must remain:

Professional
Respectful
Relevant to training
Free of inappropriate or personal advances

Recording and or publishing/posting sessions without consent is strictly prohibited.

In-Person Sessions

If you choose to meet athletes in person:

You do so at your own risk
You are responsible for ensuring a safe environment
COACH’D is not liable for any incidents, injuries, or disputes

Coaches must follow local laws and facility rules.

Platform Use & Technology

You agree not to:

Attempt to hack, disrupt, or misuse the Platform
Circumvent payment systems
Create multiple accounts to evade enforcement
Use the Platform for unrelated commercial activity

COACH’D may monitor usage to enforce these rules.

Termination

COACH’D may suspend or terminate accounts for:

Violations of this Agreement
Fraudulent or unsafe behavior
Repeated complaints from athletes
Failure to maintain accurate qualifications

You may terminate your account at any time.

Limitation of Liability

To the fullest extent permitted by law, COACH’D, the owners, or partners is not liable for:

Injuries or damages arising from your coaching
Loss of income or business opportunities
Disputes between you and athletes
Service interruptions or technical issues

You agree to use the Platform at your own risk.

Indemnification

You agree to indemnify and hold harmless COACH’D, its owners, and partners from claims arising out of:

Your coaching services
Your interactions with athletes
Your violation of this Agreement

This includes legal fees and damages.

Modifications

COACH’D may update this Agreement at any time. Continued use of the Platform constitutes acceptance of the updated terms.

Governing Law

This Agreement is governed by the laws of the state of Alabama, unless otherwise required by your local jurisdiction.
